Terms & Conditions

Welcome to Eagles Design Studio (EDS)!

Thank you for choosing Eagles Design Studio (EDS) for your web design needs. We are committed to creating a stunning, functional website that perfectly represents your business. These Terms and Conditions outline the services we provide and the responsibilities of both parties.

1. Payment Terms

Deposit:
A 50% deposit is required to begin work on your project. Please note that this deposit may not be refundable once work has commenced and significant progress has been made.

Full Payment:
The remaining balance will be due upon completion of the website, prior to the website being made live.

Invoice:

The payment amount will be outlined in the invoice you receive once the contract is signed.

Completion Timeline:
We aim to complete your website within 10 working days of receiving the signed contract and deposit.

2. Revisions

You are entitled to one free revision of the website. Any additional revisions requested will be billed at our standard rates.

3. Scope of Work

EDS will deliver a fulling functional website at our lowest possible cost

The specific details of your website should you choose to sign up for our service will be outlined on the Contract you receive once you complete your application

4. Maintenance Plan

We offer an annual maintenance plan to help keep your website in top shape.

  • Price: £39 billed annually

  • Services Included:

    • Regular inspections to ensure full website functionality, including:

      • Checking all web links

      • Ensuring all web pages load correctly

      • Verifying online features work smoothly

      • Checking for typographical errors and other discrepancies

    • Client Suggestions: We will proactively recommend updates and improvements.

Limitations:
EDS will strive to regularly check your new website for issues; however, we cannot guarantee all issues will be discovered immediately or at all, as issue detection depends on their nature.

5. Additional Work

Any additional work requested outside the scope of this agreement will be quoted upon request and may be subject to additional charges.

6. Intellectual Property Rights

Once full payment is made, you will own the rights to the completed website design. Until payment is complete, EDS retains intellectual property rights.

7. Confidentiality

Both parties agree to keep all sensitive information exchanged during the project confidential and will not disclose it to third parties without prior written consent.

8. Force Majeure

EDS will not be liable for any delay or failure to perform any obligation under this agreement due to circumstances beyond reasonable control, including but not limited to natural disasters, war, or other unforeseen events.

9. Termination

Either party may terminate this agreement by providing written notice. In the event of termination, you will be invoiced for work completed up to the termination date.

10. Amendments

Any amendments to this agreement must be made in writing. EDS reserves the right to change the terms and conditions at any time. Clients will be informed of any changes via email or by updating this website.

11. Refund Policy

You have the right to cancel the work at any point, but if the work has been completed to the agreed-upon standard by the time of cancellation, we reserve the right to invoice you for the finished work.

Deposit Refund:
Once work has commenced and significant progress has been made, your deposit is generally non-refundable. "Progress" includes, but is not limited to:

  • Initial design concepts or drafts created

  • Development, coding, or functionality setup

  • Content added to the website

  • Third-party services or applications set up or purchased

If no significant progress has been made, you may be eligible for a partial refund, determined by the extent of work completed.

Cooling-Off Period:
Under UK consumer law, you have a 14-day cooling-off period. If the service has not yet begun, you are entitled to a full refund within this period. If work has started, the deposit may be non-refundable.

Refund Process:
Refunds will be processed within 14 days of receiving a cancellation notice and will be issued to the original payment method unless otherwise agreed upon.

12. Promises

Our Promise:
We commit to delivering a fully functional website within 10 working days (excluding additional revision time) after confirming the start of your project. If we fail to meet this deadline, you will be eligible for a 10% discount (applicable if no other discounts have been applied). The website will include the agreed-upon features as outlined in the contract.

Your Promise:

You agree to provide all necessary materials and information required for the website in a timely manner, including but not limited to content, images, and access to any accounts or platforms. Delays in providing this information may affect the project timeline.

You agree to make the full payment upon completion. 

If you choose to subscribe to our maintenance plan, you agree to make timely payments for continued service.

13. Data Protection and Privacy

We comply with all applicable data protection and privacy laws in the UK, including the General Data Protection Regulation (GDPR). Your personal information will be handled in accordance with our Privacy Policy, which is available on our website.

14. Limitation of Liability

EDS will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising out of or in connection with the services provided. Our total liability to you for any claim arising from this agreement shall not exceed the amount you paid to us under this contract.

15. Dispute Resolution

Any disputes arising from or in connection with this agreement shall be resolved through negotiation in good faith. If a resolution cannot be reached, the dispute will be referred to mediation according to the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure. If unresolved through mediation, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Governing Law

This agreement shall be governed by and construed in accordance with the laws of England and Wales.

17. Third-Party Applications

To provide you with web design services, EDS uses third-party applications such as Wix and others. EDS cannot be held liable if these platforms become unavailable, experience corruption, or encounter other issues that may impact your business. We will strive to resolve any issues, but some problems may not be solvable. EDS is not responsible for bugs introduced by third-party platforms.

18. Third-Party Licenses

Where applicable, the use of third-party software, themes, or plugins may be required to complete the project. You are responsible for acquiring any necessary licenses for these third-party tools. EDS will not be held responsible for any issues arising from third-party software licensing.

19. Hosting & Domain

If hosting or domain registration is not included in the service, it is the client’s responsibility to ensure that these are secured. EDS can assist with recommendations, but the client will be responsible for making arrangements.

 

These Terms and Conditions are effective from the date they are made available on our website. By continuing to use our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
